These Terms of Service (“Terms”) are a binding agreement that governs your access to and use of ImageToStock (the “Service”), operated by Aipera Holding LLC (“Aipera”, “we”, “us”, “our”), 30 N Gould St Ste N, Sheridan, WY 82801, USA. By creating an account, purchasing a plan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
2. The Service
ImageToStock lets you upload images and uses artificial intelligence to generate stock-photo metadata (such as titles, descriptions, keywords, and categories) and to produce marketplace-ready CSV exports for platforms such as Adobe Stock and Shutterstock. We may update, modify, suspend, or discontinue any part of the Service at any time. One credit processes one image.
3. License to use the Service
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own lawful purposes. You may not resell, sublicense, or provide the Service to third parties without our written permission.
4. Acceptable use
You agree not to misuse the Service, including by uploading unlawful or infringing content, attempting to disrupt or reverse engineer the Service, scraping, circumventing usage limits or security controls, or reselling access without authorization. Full details are in our Acceptable Use Policy, which is incorporated into these Terms.
5. Subscriptions and automatic renewal
Monthly and yearly plans renew automatically. At the end of each billing cycle, your saved payment method is charged the then-current price for the next cycle, and your subscription continues, until you cancel. By subscribing, you authorize these recurring charges. We may notify you of upcoming renewals and price changes where required by law; price changes take effect on your next renewal.
6. Billing and payment
- All payments are processed by Stripe, a PCI-compliant payment processor. Stripe stores and charges your payment card. ImageToStock and Aipera never store your full card number.
- Subscription fees are billed in advance for each billing period.
- You are responsible for any applicable taxes and for keeping your payment information current. Failed or reversed payments may result in suspension of access.
7. No refunds
All payments are final and non-refundable, including for partial or unused billing periods and unused credits, except where a refund is required by applicable law. Cancelling stops future charges but does not entitle you to a refund of amounts already paid. See our Refund Policy for details.
8. Credits and no roll-over
- One credit processes one image (1 credit = 1 processed image).
- Subscription credits reset at the start of each billing month and do not roll over. Unused subscription credits are forfeited at the end of each cycle.
- Separately purchased one-time credit packs do not expire.
9. Cancellation and pause
You may cancel your subscription at any time through the billing portal. Cancellation stops future renewals; your access and remaining subscription credits continue until the end of the current paid period, after which they expire. No partial refund is provided for the remainder of a paid period. Where available, you may also pause your subscription instead of cancelling.
10. AI output disclaimer
Metadata generated by the Service is produced by artificial intelligence, is provided “as is”, and may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing and editing all output before submitting it to any marketplace, and for ensuring compliance with each marketplace’s terms. We do not guarantee acceptance, sales, rankings, discoverability, or income. See our Disclaimer.
11. Intellectual property
The Service, including its software, design, branding, and trademarks, is owned by Aipera Holding LLC and its licensors. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service described above.
12. Your content and rights
You retain ownership of the images you upload. You grant us a limited license to process, transmit, and store your content solely to provide the Service. You represent and warrant that you own or have all necessary rights to the images you upload and that they do not violate any law or third-party right. Uploaded images are processed transiently and deleted after processing; we retain only small thumbnails and generated metadata. See our Privacy Policy.
13. Termination
We may suspend or terminate your access at any time if you violate these Terms or if we reasonably believe your use poses a risk to the Service or others. You may stop using the Service and close your account at any time. Sections that by their nature should survive termination (including payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
14. Disclaimer of warranties
The Service and all output are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any output will be accurate or fit for your purposes.
15. Limitation of liability
To the maximum extent permitted by law, Aipera Holding LLC and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total aggregate liability for all claims relating to the Service will not exceed the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
16. Indemnification
You agree to defend, indemnify, and hold harmless Aipera Holding LLC and its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, or your violation of these Terms or any law or third-party right.
17. Binding arbitration and class-action waiver
Please read this section carefully — it affects how disputes are resolved.
Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration rather than in court. You and Aipera each waive the right to a trial by jury and agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding.
30-day opt-out: You may opt out of this arbitration agreement by emailing info@aipera.com with your name, account email, and a clear statement that you opt out of arbitration, within 30 days of first accepting these Terms. Opting out will not affect any other part of these Terms.
18. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. To the extent any dispute is not subject to arbitration, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming.
19. Changes to these Terms
We may revise these Terms from time to time. We will update the “Last updated” date above, and material changes will be communicated where required. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
